  1.                   AZTECH NEW MEDIA CORP. LICENSE AGREEMENT
  2. __________________________________________________________________________

  4. Please carefully read the following license agreement before opening the CD 
  5. container. By opening the CD container you accept the terms of this Agreement. 
  6. If you do not accept the terms of this Agreement, do not open the CD container
  7. and promptly return the entire package to AZTECH for a full refund. If you 
  8. have opened the CD container before reading the printed license agreement and 
  9. are now reading this Agreement from one of the CD's in the package, and you 
  10. disagree with any of the terms of this Agreement, please immediately replace 
  11. the CD in the container and return it to Aztech along with your original 
  12. invoice or receipt for a full refund. In addition, immediately destroy all 
  13. copies of the package or any of its components.
  14.  
  15. DEFINITIONS
  16. ----------------
  17. The following definitions apply to the terms as they appear in this agreement:
  18.  
  19. "AZTECH" means AZTECH NEW MEDIA CORP.
  20.  
  21. "You" and "Your" refer to any person or entity that acquires or uses this 
  22.  package.
  23.  
  24. "Package" means the software, images, data, printed image catalogue of Fashion, 
  25. Advertising and Lifestyles, in whole or in part, and other items accompanying this Agreement.
  26.  
  27. "Software" means the computer program contained in this package, together with 
  28. all codes, techniques, software tools, formats, designs, concepts, methods, 
  29. and ideas associated with that computer program. The term also includes all 
  30. copies of any part of the software, the optical media and contents, as well as 
  31. the manual(s) and other printed materials contained in this package.
  32.  
  33. "Image manipulation" means significantly altering, via software, any of the 
  34. supplied digital images such that an image from the package that has been 
  35. "manipulated" is no longer recognizable as having come from an original image 
  36. in this package.
  37.  
  38. COPYRIGHT/PROPRIETARY PROTECTION 
  39. --------------------------------
  40. The software is owned and copyrighted by AZTECH and/or its suppliers and is 
  41. protected by United States and International copyright laws as well as 
  42. international trade provisions.
  43.  
  44. You must treat the software like any other copyrighted material. The software 
  45. involves valuable proprietary rights of AZTECH and others. There is no transfer 
  46. to you of any title to, or ownership of, the software or any patent, copyright, 
  47. trade secret, trade name, trademark, and other proprietary rights related to 
  48. the software, regardless of the form in which the original or other copies 
  49. exist. 
  50.  
  51. You must not violate these rights and you must take appropriate steps to 
  52. protect AZTECH's rights. AZTECH may, at any time, replace, modify, alter, 
  53. improve, enhance, or change the software without notice. Both the license and 
  54. your right to use the software terminate automatically if you violate any part 
  55. of this Agreement. In the event of termination you must immediately destroy all
  56. copies of the software and return the original to AZTECH.
  57.  
  58. PERMITTED USES
  59. --------------
  60. AZTECH grants you a single user, non-exclusive license to use the software in 
  61. this package according to the terms as follows. You MAY:
  62. ∙   Operate the software on only one computer at a time. 
  63. ∙   Use the package for any purpose, whether for video display, print media or 
  64.     otherwise and whether for commercial or personal use, provided the primary 
  65.     value of the product you are producing, or the service you are providing, 
  66.     is not the image(s) itself (themselves). For clarity, you may use the 
  67.     package for advertisements, brochures, newsletters, marketing literature, 
  68.     company presentations, etc. 
  69. ∙   After written notification to AZTECH, transfer all (but no lesser portion) 
  70.     of the package to another person or entity who, in turn, must agree to, 
  71.     and be subject to, this Agreement.
  72.  
  73. PROHIBITED USES
  74. ---------------
  75. You may NOT:
  76. ∙   Copy or distribute copies of the software, documentation or the package 
  77.     to others.
  78. ∙   Copy any portion of the software except for image manipulation as described 
  79.     above under Permitted Uses.
  80. ∙   Modify the software or merge it with another program.
  81. ∙   Translate or create derivative works based on the software, except for 
  82.     image manipulation.
  83. ∙   Remove, obscure, or alter any notice of the patent, copyright, or other 
  84.     proprietary rights related to the software or package.
  85. ∙   Publish, sub-license, sell, re-sell, distribute, give away, lend, rent, 
  86.     lease or provide to others, in whole or in part, the software or the 
  87.     package.
  88. ∙   Operate the software on more than one computer at a time. If you wish to 
  89.     operate the software on a network, please contact AZTECH to request a site 
  90.     or network license agreement.
  91. ∙   Transfer the software or any direct product to any person or entity in 
  92.     violation of the United States Export Administration Act.
  93. ∙   Reverse-engineer, disassemble, decomply, or make any attempt to discover 
  94.     the source code to the software. 
  95.  
  96. ∙   Use the package for any purpose where the primary value is the images 
  97.     themselves. For clarity, you may NOT use the package for calendars, coffee
  98.     table books, tee-shirts, post cards, etc. where the primary value is the 
  99.     images themselves. You are strongly encouraged to submit in writing to 
  100.     Aztech any questions you may have regarding the interpretation of this 
  101.     license (fax: 416-738-1961). 
  102. ∙   Use the product or software in immoral, scandalous, controversial, 
  103.     derogatory, obscene or offensive works.
  104.  
  105. LIMITED WARRANTY
  106. ----------------
  107. AZTECH warrants that, upon delivery by AZTECH of the CD's on which the software
  108. is distributed, the package will be free from defects of workmanship and that 
  109. the software will substantially conform to the specifications established by 
  110. AZTECH. AZTECH does not warrant that the software is free from all bugs, 
  111. errors, and omissions. This warranty gives you specific legal rights, and you 
  112. may also have other rights that vary from state to state and country to country. 
  113.  
  114. If any of the software fails to comply with the warranties set forth above, 
  115. AZTECH's sole liability is to replace the package or portion thereof, or at 
  116. AZTECH's option, make a reasonable effort to correct the program errors. You 
  117. must however return all copies of the software, along with a copy of your paid 
  118. CD's invoice, to AZTECH within ninety (90) days of the date you purchased the 
  119. software. 
  120.  
  121. If AZTECH is unable to correct the defective CD or program error, 
  122. AZTECH's sole liability is to refund all or a fair portion of the price you 
  123. paid for the package, at AZTECH's option. The refund shall fully satisfy all 
  124. your claims for the consequences of the software, CD or disk failure. Any 
  125. replacement software will be warranted for the rest of the original 90-day 
  126. warranty period or for 30 days from the date you received the replacement, 
  127. whichever is longer. The duration of any implied warranties including, without
  128. limitation, the implied warranties of merchantability and fitness, shall be 
  129. limited to the duration of the warranty period described above. 
  130.  
  131. Except as specifically set forth above, AZTECH shall not be liable for any:
  132. ∙ bug, error, omission, defect, deficiency or non-conformity in any software;
  133. ∙ claim of infringement;
  134. ∙ claim in tort, whether or not arising, in whole or in part, from AZTECH's 
  135.   fault, negligence, strict liability or product liability;
  136. ∙ claim or any indirect, incidental, special or consequential damages, cover 
  137.   or loss of revenue, or use;

  141. Notwithstanding anything to the contrary contained herein, other than a 
  142. properly authorized new license agreement replacing this one in writing and 
  143. making appropriate reference to such replacement, any written or oral 
  144. information or advice given by AZTECH distributors, agents, representatives, 
  145. or employees shall in no way increase the scope of this warranty.
  146.  
  147. Nor may you rely on any such written or oral communication. Some states and 
  148. provinces may not allow limitations on how long an implied warranty lasts or 
  149. exclusion or limitation of consequential damages; therefore, the limitations 
  150. set forth in this warranty may not apply to you. The foregoing limitations of 
  151. warranty and liability inure to the benefit of AZTECH licensees having an 
  152. interest in the package.
  153.  
  154. GENERAL
  155. --------------
  156. Colors may vary from the color of the images displayed on a screen or on the 
  157. accompanying posters/catalog, to that on final print. You must therefore make 
  158. color proofs of the images prior to printing to assure yourself as to color 
  159. and resolution suitability. 
  160.  
  161. You, rather than AZTECH, accepts all liabilities (except for the license 
  162. granted herein to properly use these images) arising out of the usage of this 
  163. package or the software contained herein. You agree that Aztech's maximum 
  164. liability for any cause of any action of any kind is limited to the replacement
  165. value of a single package. AZTECH is not responsible for maintaining or 
  166. helping you to use the software, unless as part of a separate Technical 
  167. Support Program. 
  168.  
  169. This Agreement constitutes the entire agreement and supersedes any prior 
  170. agreement between AZTECH and you concerning the contents of this package. 
  171. AZTECH is not bound by any provision of any purchase order, receipt, 
  172. acceptance, confirmation, correspondence, or change unless such is written and 
  173. signed by a duly authorized officer of AZTECH. This Agreement is governed by 
  174. the laws and procedures of Ontario, Canada.
